Terms of Service
Effective September 27, 2026
These terms cover your use of sprout.gift and the Sprout app (“Sprout”, “we”, “us”). By connecting a wallet, planting a Sprout, or opening or claiming one, you agree to them. Please read them together with our Privacy Policy and the risks on How It Works.
1. What Sprout is
Sprout is a website that helps you lock tokenized stocks on the Base network as a gift, until a date you choose. The locking itself is done by smart contracts on Base. Each Sprout is held by its own contract, not by us: we never hold, control or have access to the funds in a Sprout.
The contracts have no owner, no admin key, no pause and no upgrade. Once deployed they can't be changed, by us or anyone else. That is what makes the lock trustworthy, and it also means mistakes can't be undone.
2. Who can use Sprout
- You must be at least 18 years old, or the age of majority where you live, to plant a Sprout.
- The stocks are Coinbase tokenized stocks, which are not available to US persons or in some other countries. You may not use Sprout if you are a US person, if you are in a place where these tokens or this service are not allowed, or if you are subject to sanctions.
- You are responsible for making sure that holding, gifting and receiving these tokens is lawful for you and for your recipient, including any tax you owe.
We don't verify identities. A recipient doesn't need an account; they will need an eligible wallet to claim.
3. How a Sprout works
- Locked until the unlock date. Until then nobody can withdraw a Sprout: not you, not the recipient, not us. You can add more to it while it is locked.
- The gift card works like cash. Anyone who has the card link and the Claim Code can claim the Sprout after it unlocks, to any wallet. Send the card privately and keep it safe. We can't see the codes, recover them or reissue a card.
- Claim window and backup wallet. If the Sprout isn't claimed within the claim window you chose, anyone can trigger sending it to the backup wallet you named. We run a service that does this, but the contract doesn't depend on us. Until that happens, a late claim still works.
- Settings are final. The recipient's claim key, unlock date, claim window and backup wallet can't be changed after the Sprout is locked. Check them before you confirm.
4. Fees
Planting a Sprout costs 1% of its value, paid in USDC and charged by the contract when the Sprout is locked. There is no fee on top-ups, claims or holdings. You also pay Base network fees (gas) for your own transactions, and when you pay in USDC, the stocks are bought through a third-party exchange aggregator (KyberSwap) at the price and slippage shown before you sign. Fees are not refundable.
5. Tokenized stocks and their issuer
The tokens in a Sprout are issued by Coinbase, under Coinbase's own terms, not ours. The issuer can pause, freeze or block tokens or wallets, and may take other actions its terms allow. If a token is paused or a wallet is blocked, claiming or the backup transfer may not go through until that changes. We have no control over this.
6. Risks you accept
- Prices move. A Sprout holds the shares themselves, so its value rises and falls with the market. We make no promise about what a Sprout will be worth.
- Smart contracts. The contracts are built from OpenZeppelin components, but they are new and have not been independently audited, and may contain undiscovered bugs that can't be fixed.
- Networks and wallets. Base, your wallet app and other services can fail, be congested or change. Transactions you sign are final.
- Lost access. If the card or Claim Code is lost, the recipient can't claim, and the Sprout can only go to the backup wallet after the claim window. If the backup wallet is also lost, the Sprout may stay locked forever.
7. Your responsibilities
- Keep your wallet, card links and codes secure. Anyone with them can act as you.
- Double-check addresses, dates and amounts before you sign.
- Don't use Sprout for anything unlawful, to move stolen funds, or to harm others.
- Don't attack, overload or interfere with the website or its services.
8. Not financial advice
Sprout is a tool, not a broker, adviser, bank or custodian. Nothing on the site is investment, legal or tax advice, and the stocks we list are not recommendations. Decide for yourself, and get advice if you need it.
9. Third-party services
Sprout relies on services we don't control, including the Base network, Coinbase, KyberSwap, wallet apps, WalletConnect and our hosting providers. Their own terms apply to your use of them, and we aren't responsible for their availability or actions.
10. Disclaimers and limitation of liability
Sprout is provided “as is” and “as available”, without warranties of any kind, to the fullest extent the law allows. To that same extent, we are not liable for any indirect, incidental or consequential loss, or for loss of funds, tokens, profits or data, arising from your use of Sprout, the contracts, the tokens or any third-party service. Where our liability can't be excluded, it is limited to the fees you paid us in the twelve months before the claim.
Some places don't allow these limits, so they may not all apply to you.
11. Changes and contact
We may update these terms. The date at the top shows when they last changed, and continued use means you accept the new version. Changes to the website never change the rules of a Sprout that is already locked: those are fixed in its contract.
